>> What does NDA not cover?

NDA usually does not cover service scope, delivery, payment and cancellation terms. However, NDA can usually be extended to include a portion of service scope when an academic researcher hires consulting service. This way a single agreement can serve dual purpose of keeping the information discreet and also detailing the scope of service, consultant/company will provide.

There is no difference between NDA and confidentiality agreement as both serve the same purpose. NDA usually does not make the company/client to perform it’s services and/or deliver them on time. It is also not supposed to outline the service scope while as explained earlier; it sometimes serves this partial purpose as well. For Master’s or doctorate students seeking research assistance, they must ensure that the NDA mentions about non-disclosure even in case the service is terminated in between or after the completion of service.

NDA is also not a service level agreement (SLA), where terms of rendering service or how the support is provided is outlined. It is not supposed to serve as SLA and provide protection for the same. NDA also does not serve as a receipt of payment made or invoice and must be treated in accordance.
